  • Content Strategy & Creation

Service specifications, deliverables, and timelines will be outlined in individual service agreements or proposals. We reserve the right to modify or discontinue services at any time without notice.

3 Payment Terms

Payment terms will be specified in your service agreement. Generally:

  • Payment is due as outlined in your specific service agreement or invoice
  • We accept various payment methods including credit cards, bank transfers, and online payment systems
  • Late payments may result in service suspension and additional fees
  • All fees are non-refundable unless otherwise stated in your service agreement
  • Prices are subject to change with 30 days notice

4 Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information necessary for service delivery
  • Respond to requests for information or feedback in a timely manner
  • Provide necessary access to accounts, platforms, and materials required for service delivery
  • Comply with all applicable laws and regulations in your use of our services
  • Not use our services for any illegal or unauthorized purpose
  • Maintain the confidentiality of any account credentials or sensitive information

5 Intellectual Property Rights

Unless otherwise specified in your service agreement:

  • Upon full payment, you own the final deliverables created specifically for you
  • We retain ownership of any pre-existing materials, templates, tools, or methodologies
  • We reserve the right to showcase completed work in our portfolio unless otherwise agreed
  • You grant us permission to use your brand name and logo for portfolio and marketing purposes
  • Third-party assets (stock photos, fonts, software) remain property of their respective owners

6 Confidentiality

We understand the importance of protecting your confidential information. Both parties agree to:

  • Keep confidential information shared during the business relationship private
  • Use confidential information only for the purpose of fulfilling service obligations
  • Not disclose confidential information to third parties without prior written consent
  • Return or destroy confidential information upon termination of services

7 Limitation of Liability

To the maximum extent permitted by law:

  • Neighborhood Profits shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the amount paid by you for services in the 12 months preceding the claim
  • We do not guarantee specific results from our marketing services, as outcomes depend on many factors beyond our control
  • We are not responsible for losses due to factors outside our reasonable control, including third-party platform changes, algorithm updates, or market conditions

8 Service Warranties

We strive to provide high-quality services and warrant that:

  • Services will be performed with reasonable skill and care
  • We will make reasonable efforts to meet agreed-upon deadlines
  • All work will comply with applicable laws and industry standards

However, services are provided "as is" without any other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.

9 Termination

Either party may terminate services under the following conditions:

  • Written notice as specified in your service agreement (typically 30 days)
  • Immediate termination for material breach of these terms
  • Immediate termination for non-payment

Upon termination:

  • You remain responsible for payment of all services rendered up to the termination date
  • We will provide you with completed work and files as specified in your agreement
  • We reserve the right to retain copies of work for our records

10 Dispute Resolution

In the event of any dispute arising from these terms or our services:

  • Both parties agree to first attempt resolution through good faith negotiations
  • If negotiations fail, disputes shall be resolved through binding arbitration in Spokane, Washington
  • The prevailing party may be entitled to recover reasonable attorney fees and costs
  • These terms shall be governed by the laws of the State of Washington

11 Third-Party Services

Our services may involve the use of third-party platforms and services (e.g., Google, Facebook, Instagram, hosting providers). You acknowledge that:

  • Third-party services are subject to their own terms and conditions
  • We are not responsible for changes, outages, or limitations imposed by third-party platforms
  • You are responsible for maintaining active accounts and access to necessary third-party services
  • Additional fees may apply for third-party services, tools, or subscriptions

12 Indemnification

You agree to indemnify and hold Neighborhood Profits harmless from any claims, damages, losses, or expenses arising from:

  • Your breach of these Terms and Conditions
  • Your use of our services in violation of any applicable law
  • Content you provide that infringes on third-party rights
  • Your business operations and marketing practices
